Welcome to Budgetz Ltd. ("Budgetz", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of our services, including our website, mobile applications, WhatsApp bot, and any other software or services offered by Budgetz (collectively, the "Services"). Please read these Terms carefully before using our Services.

By accessing or using our Services, you agree to be bound by these Terms and all applicable laws and regulations. If you do not agree with these Terms, you must not use our Services.

1. Eligibility and Account Registration

1.1 Eligibility

The Services are intended for individuals who are at least 13 years old. By using our Services, you represent and warrant that you are at least 13 years of age and have the legal capacity to enter into these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you are authorized to bind the organization to these Terms.

1.2 Account Registration

To access certain features of our Services, you may need to create an account. You agree to provide accurate, current, and complete information during the registration process and to keep this information up-to-date. You are responsible for maintaining the confidentiality of your account credentials and are liable for all activities conducted through your account.

1.3 Account Security

You agree to notify Budgetz immediately of any unauthorized use of your account or any other breach of security. Budgetz will not be liable for any loss or damage arising from your failure to comply with this responsibility.

2. Acceptable Use

2.1 Prohibited Activities

When using our Services, you agree not to:

  • Violate any applicable laws or regulations.
  • Infringe upon or violate our intellectual property rights or the intellectual property rights of others.
  • Upload or transmit any content that is unlawful, harmful, defamatory, abusive, obscene, or otherwise objectionable.
  • Transmit any viruses, malware, or other harmful code.
  • Attempt to gain unauthorized access to our systems or networks.
  • Interfere with or disrupt the integrity or performance of the Services.
  • Collect or store personal information about other users without their consent.
  • Impersonate any person or entity or misrepresent your affiliation with a person or entity.

3. User Content

3.1 Ownership of User Content

You retain all rights to any content you submit, post, or display on or through the Services ("User Content"). By submitting User Content, you grant Budgetz a worldwide, non-exclusive, royalty-free license (with the right to sublicense) to use, reproduce, modify, adapt, publish, translate, distribute, and display such content in connection with providing and improving the Services.

3.2 Responsibility for User Content

You are solely responsible for your User Content. You represent and warrant that:

  • You own or have the necessary rights and permissions to use and license the User Content.
  • Your User Content does not violate any laws or infringe upon the rights of any third party.

3.3 Monitoring and Removal

Budgetz reserves the right, but is not obligated, to monitor User Content and to remove or disable access to any User Content for any reason, including if we believe it violates these Terms or is otherwise harmful.

4. Intellectual Property Rights

4.1 Budgetz Intellectual Property

All content and materials provided through the Services, excluding User Content, are the property of Budgetz or its licensors and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Services for your personal, non-commercial use.

4.2 Restrictions

You agree not to:

  • Modify, copy, distribute, or create derivative works based on the Services.
  • Reverse engineer or attempt to extract the source code of any software used in the Services.
  • Use any trademarks, logos, or service marks displayed on the Services without our prior written permission.

5. Third-Party Services and Links

5.1 Connections to Third Parties

Our Services may allow you to connect with third-party services or contain links to third-party websites or resources. These are provided for your convenience only. Budgetz does not endorse and is not responsible for the content, products, or services on or available from those third parties.

5.2 Use of Third-Party Services

If you choose to access any third-party services, you do so at your own risk. Your interactions with third-party services are governed by the terms and conditions of the respective third parties.

5.3 PSD2-Inspired Protocol

While our Services may offer functionalities inspired by open banking protocols, such as allowing you to connect with third-party services, we are not affiliated with or endorsed by any banking institutions. Any connections you establish are at your discretion and risk.

6. WhatsApp Bot

6.1 Use of WhatsApp Bot

If you choose to use our WhatsApp bot:

  • You agree that any information you send (including text, images, and audio) may be processed by third-party services to enhance our Services.
  • Communications via the WhatsApp bot are subject to these Terms and our Privacy Policy.
  • Your use of WhatsApp is also subject to WhatsApp's terms and privacy policies.

7. Privacy

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and disclose information about you.

8. Trial and Subscription

8.1 Free Trial

We may, at our sole discretion, offer a free trial period for new users (“Free Trial”). The duration of the Free Trial and any other specific terms are detailed during sign-up. After the Free Trial expires, your account may revert to a limited or read-only state unless you upgrade to a paid subscription.

8.2 Upgrading to a Paid Subscription

To continue with full access beyond any Free Trial, you must provide valid payment details and pay the applicable monthly fee in advance. Your subscription term starts on the payment date and renews on a monthly basis.

8.3 Cancellation and No Refunds

You may cancel at any time. No refunds are issued for partial months or unused periods. If you cancel or fail to renew, your account reverts to a limited or read-only mode at the end of your billing cycle.

8.4 Payment Authorization

By subscribing, you authorize us to charge your chosen payment method monthly until you cancel. If a payment fails, we may suspend or terminate your subscription.

9. Data Usage and Rights

9.1 Data Collection and Use

By using our Services, you consent to Budgetz collecting and using your data as outlined in our Privacy Policy. This includes using your data to improve our Services and for other purposes we deem appropriate.

9.2 Data Retention

We retain your account information indefinitely, even if you stop using the Services. You may delete any content you have submitted, but your account and associated email address will remain in our system.

9.3 Data Deletion

If you wish to have your personal data deleted, you may submit a request to support@budgetz.co.il. We will review and process your request in accordance with applicable laws and our data retention policies.

10. Termination and Suspension

10.1 Termination by You

You may stop using our Services at any time. If you wish to deactivate your account, please contact us at support@budgetz.co.il.

10.2 Termination by Budgetz

We may suspend or terminate your access to the Services at any time, without notice, for any reason, including if you violate these Terms.

10.3 Effect of Termination

Upon termination:

  • Your right to use the Services will immediately cease.
  • We may retain your User Content and data as described in our Privacy Policy.

11. Disclaimers and Limitation of Liability

11.1 Disclaimers

The Services are provided on an "as is" and "as available" basis. Budgetz makes no warranties, express or implied, regarding the Services, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

11.2 Limitation of Liability

To the fullest extent permitted by law, Budgetz shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, resulting from:

  • Your access to or use of or inability to access or use the Services.
  • Any conduct or content of any third party on the Services.
  • Any content obtained from the Services.
  • Unauthorized access, use, or alteration of your transmissions or content.

12. Indemnification

You agree to indemnify, defend, and hold harmless Budgetz and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.

13. Changes to the Terms

We may revise these Terms from time to time. If we make material changes, we will notify you by updating the date at the top of the Terms and, in some cases, we may provide additional notice. By continuing to use the Services after the changes become effective, you agree to be bound by the revised Terms.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Israel, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or the Services will be resolved exclusively in the competent courts located in Tel Aviv, Israel.

15. Miscellaneous

15.1 Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and Budgetz regarding the Services and supersede any prior agreements.

15.2 Waiver and Severability

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision is held to be invalid or unenforceable, the remaining provisions will remain in effect.

15.3 Assignment

You may not assign or transfer any rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to others without restriction.
